LEGAL / MERCHANT AGREEMENT

Terms and conditions

These terms govern your use of dsauq as a vendor — the storefront we host for you, the dashboard you run it from, and the billing, payments and delivery services attached to it. Read them before you submit an application.

GOVERNING LAW
India
In short

You sell your own goods under your own name; we provide the storefront, dashboard and billing. You are the seller of record and remain responsible for your products, prices, taxes and customers. This summary is for convenience and is not part of the agreement.

01

Who these terms bind

This is an agreement between [FILL IN: Registered business/entity name] ("dsauq", "we") and the business that registers an account ("vendor", "you"). By submitting an application, verifying your mobile number and using the dashboard, you accept these terms on behalf of that business.

You confirm you are at least 18 years old, are authorised to bind the business, and that the details you submit — name, business name, address, PAN and GSTIN where given — are accurate and current.

02

Registration and approval

Applications are reviewed before a store goes live. We verify the business name, PAN and address, and may ask for supporting documents. Approval is at our discretion; we may decline an application without giving reasons, and we will tell you the outcome on the mobile number and email you registered.

  • Registration is free and creates no obligation to sell.
  • One account per legal entity; multiple outlets belong under one account.
  • Your OTP-verified mobile number is the account's primary identity — keep it in your control.
03

Your store URL

Your business name generates a subdomain of the form yourshop.dsauq.com, reserved for you while your application is in review. Subdomains remain our property and are licensed to you for as long as the account is active.

We may reclaim or rename a subdomain that infringes a trademark, impersonates another business, is offensive, or has been inactive for twelve months. You may connect your own domain on eligible plans; that domain stays yours.

04

Plans, fees and taxes

Subscription fees are billed monthly in advance and platform fees are deducted from settlements. All fees are exclusive of GST, which is charged at the applicable rate. Plans may be changed or cancelled at any time, effective from the next billing cycle; we do not refund part-months. Current plans and pricing are published on our Pricing section.

Payment-gateway charges are levied by the gateway and shown separately on each settlement. We give 30 days' notice before any price increase.

05

GST and invoicing

You are the supplier of record for every sale made through your store. dsauq generates tax invoices, credit notes and GSTR-1 summaries from the data you enter, using the HSN codes and GST rates you set on each product. Those inputs are your responsibility.

Filing returns, paying tax, and validating your GSTIN and e-invoicing eligibility remain yours to do. Our billing tools assist compliance; they are not tax advice, and we are not liable for penalties arising from incorrect product data, an invalid GSTIN, or late filing.

06

Payments and payouts

Customer payments are collected by licensed payment partners and settled to your verified bank account, typically within T+2 working days of order confirmation, net of platform fees, gateway charges and any refunds. COD collections are remitted after the courier settles them to us.

We may hold a settlement where an order is disputed, a chargeback is raised, fraud is suspected, or your account details fail verification. We will tell you why and for how long.

07

Products and listings

You must have the right to sell everything you list, and your listings must be accurate about price, stock, condition and origin. The following may not be sold through dsauq:

Counterfeit or infringing goods
Weapons, ammunition and explosives
Narcotics, tobacco and prescription drugs
Live animals and protected wildlife products
Stolen goods and hazardous materials
Anything restricted under Indian law

We may remove a listing that appears to break these rules or the law, and will notify you when we do.

08

Orders, delivery and returns

Every order is a contract between you and your customer. You must publish your own returns, refund and cancellation policy, honour it, and dispatch within the timelines you advertise. Where you use our integrated courier partners, their terms apply to pickup, transit and proof of delivery.

Customer complaints about products, delivery or service are yours to resolve. We may step in where a dispute reaches us, and repeated unresolved complaints can lead to suspension.

09

Themes, content and intellectual property

You keep all rights to your brand, product photographs and copy, and grant us a licence to host, resize and display them for the purpose of running your store. dsauq keeps all rights to the platform, its themes and its code; you may customise a theme within the editor but may not resell or redistribute it.

We may show your store name and logo in a list of merchants using dsauq. Tell us if you would rather we did not.

10

Data and privacy

Customer data collected through your store is held by us as processor and by you as the business responsible for it. Use it only to fulfil orders and to market with consent — never sell it or transfer it off the platform without a lawful basis.

You can export your products, orders and invoices as CSV and PDF at any time, including after closing the account. We retain records for as long as tax and accounting law requires, then delete them. See our Privacy Policy for details.

11

Service availability

We aim for 99.9% monthly uptime on storefronts and the dashboard, excluding scheduled maintenance, which we announce in advance and run in low-traffic hours. Features may change, and we will give reasonable notice before removing one you depend on.

12

Suspension and closure

You may close your account at any time from Settings; fees already paid are not refunded, and open orders must be fulfilled or refunded first. We may suspend or close an account for unpaid fees, prohibited listings, fraud, repeated customer complaints, or a breach of these terms — immediately where there is risk to customers, otherwise after notice and a chance to fix it.

On closure, your storefront goes offline, your subdomain is released after 30 days, and your data stays available for export for 90 days.

13

Liability

The platform is provided as it is. To the extent the law allows, we are not liable for lost profits, lost sales or indirect losses, and our total liability in any twelve-month period is capped at the fees you paid us in that period.

You indemnify us against claims arising from your products, listings, tax filings or handling of customer data. Nothing here limits liability that cannot be limited by law.

14

Changes and disputes

We may update these terms; material changes are notified by email and in the dashboard 30 days before they take effect. Continuing to sell after that date means you accept the new version. Past versions stay available on request.

These terms are governed by Indian law. We will try to settle any dispute in good faith within 30 days; failing that, it goes to arbitration in [FILL IN: your city, state] under the Arbitration and Conciliation Act, 1996, in English, before a single arbitrator.
